TERMS AND CONDITIONS
RELATIONSHIP OF PARTIES. It is understood by the client that SHARGO USA is an independent contractor with respect to the client and is not an employee of Client. Client will not provide fringe benefits, including health insurance benefits, paid vacation, or any other employee benefit, for the benefit of SHARGO Professional Business Support.
WORK PRODUCT OWNERSHIP. Any copyrightable works, ideas, discoveries, inventions, patents, products, or other information (collectively, the "Work Product") developed in whole or in part SHARGO USA in connection with the Services shall be the exclusive property of Client.
CONFIDENTIALITY. SHARGO USA will not at any time or in any manner, either directly or indirectly, use client’s information for the personal benefit of SHARGO USA or divulge, disclose, or communicate in any manner any information that is proprietary to Client. SHARGO USA will protect such information and treat it as strictly confidential. This provision shall continue to be effective after the termination of this Agreement. Upon termination of this Agreement, SHARGO USA will return to Client all records, notes, documentation and other items that were used, created, or controlled by SHARGO USA during the term of this Agreement. Unless stated in a signed Form of Release by Client or by Court Order, SHARGO USA will not release any information to anyone, by word of mouth from Client.
LIABILITY. SHARGO USA is not liable for any loss, damages or delay of client project due to circumstances beyond SHARGO USA control. Such circumstances may include, but not limited to, Acts of God, public unrest, power outages, inability to contact client, client not making available the necessary resources, ISP down-time, and information unavailable upon request. In the event of such loss, damages or delays, SHARGO USA will make every effort to notify the client immediately.
TERM/TERMINATION. This Agreement may be terminated in writing by Client up to 24 hours of agreeing to our services.
ENTIRE AGREEMENT. The Terms and Conditions and our proposal contains the entire agreement of the parties, and there are no other promises or conditions in any other agreement whether oral or written.
SEVERABILITY. If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed and enforced as so limited.
RETAINER CLIENTS: payments are due in full at the beginning of each month. No work will be done until payment is received. Payments are due within 7 days of the invoice. Payments are considered fully earned and as such non-refundable.
PROJECT CLIENTS: pay 50% of project total or a $150 deposit before work begins.
Payments not received within 7 days after due date, is subject to immediate termination of work. Monthly late charges of $15 or 2% (whichever is greater) will be applied to balances every 30 days. $32 NSF check fee. Any property or materials belonging to the client can be retained as security until all claims have been resolved to satisfaction

By signing up as a client of SHARGO USA for artwork you agree to be legally bound by these conditions. SHARGO USA may change these terms at anytime by updating this posting. SHARGO USA agrees to award all rights associated with ownership and usage of materials developed by SHARGO USA to the client upon receipt of approval of the final artwork.
OWNERSHIP/COPYRIGHTS: Ownership of the final artwork becomes the property of the client, having unlimited, indefinite, and royalty-free use of such artwork. SHARGO USA retains rights to display the artwork in portfolio and advertising materials. All concepts or any preliminary materials which are not selected by the client or are not included in the final delivery, remain the full property of SHARGO USA
DELIVERY OF INITIAL CONCEPTS: 1. All interaction occurs over the internet. This does not mean that we are not available by phone or cannot visit your place of business. In fact we encourage our clients to call during normal business hours 8:30AM to 6:30PM Eastern Standard Time. This simply means that concepts are sent via email, revisions are sent via email and artwork will be delivered via email unless otherwise requested. 2. Order confirmation will be sent to you by email confirming the immediate start of the project within one business day. Orders are confirmed only after receipt of completed order form and payment confirmation. 3. Initial concept delivery is typically within 3 business days of the order confirmation. Please note there are some projects that may be more complex than others and as such may be completed in weeks instead of a few days.
REVISIONS: 1. Interaction occurs over the internet. 2. All requests for change to be made shall be submitted via email. Client's requests shall be modified base on one chosen concept. Revision requests that depart from the current composition and require major graphical changes, will be honored and completed in a timely manner set forth by these terms and conditions. However, SHARGO USA reserves the right to charge for each such revision. No revision work which requires payment will be started without written authorization from the client. 3. Revision cycles typically take 3 business days to complete. 4. You agree to provide timely responses to any status notifications that SHARGO USA sends to you. You shall have 7 days to respond to each Response sent to you. If after 7 days you have failed to respond, SHARGO USA will assume that your project is complete and the project shall be deemed completed. At such time, SHARGO USA will have no further obligation to you. Notwithstanding the foregoing, SHARGO USA reserves the right, in its sole discretion, to terminate your access to all or a portion of the Service, at any time, with or without notice. In the event of such termination, SHARGO USA will determine, in its sole discretion, whether you are entitled to any refund.
FINAL DELIVERIES: 1. Upon completion of your project, your final files will be sent via email for immediate use. 2. You will receive your artwork in a vector format (AI, EPS) and high resolution TIFF(print-ready) and in to web-ready file formats (JPEG, GIFF). Additional files are available upon request.
GUARANTEE & REFUND POLICY: SHARGO USA is committed to designing artwork for you that you will be completely satisfied with. At any time before requesting your first round of revisions, you may request to have all work stopped and your money refunded. Refunds will be processed within 7 business days of your request. However if you are not happy with the design we will supply you with a new set of concepts FREE of charge. The only condition that may apply in receiving a second set of concepts would be: If we do not hear back from you for more than 7 days; If you have approved your artwork; If you have requested revisions; If the company we are making the artwork for closes, changes their name, or their activity. Should you receive a refund, you agree that your acceptance of the refund shall constitute your sole and exclusive remedy with respect to related Responses. Additionally, you acknowledge that you will have no right (express or implied) to use any concept or other work product, content, or media, nor will you have any ownership interest in or to the same.
STATIONERY ORDERS: Stationery orders, design and printing do not fall under our 100% Guarantee. There is only a small amount of design that can go into the development of stationery, therefore there is no reason that we should have to refund the package. You do however fall under our 100% satisfaction guarantee, which means we will continue designing until you are 100% satisfied.
OTHER SERVICES GUARANTEE & REFUND POLICY: Any service other than artwork design, does not fall under our guarantee/refund policy. Refunds for other services such as, but not limited to: web design, flyers design, printed material, rush packages and other print designs will be left to the sole discretion of SHARGO USA
REGARDING TRADE MARKS & SERVICE MARKS: SHARGO USA expects the client to perform research on their company name to be sure the name is not already in use and securing a trademark etc. to protect the clients legal rights to any name or image. SHARGO USA will not be held responsible for any legal action that may result from improper due diligence on the availability of a company name or image.
JURISDICTION: This Terms and Conditions and Our Proposal are entirely governed by the laws of the State of Florida. Any legal action directly involving this Agreement shall be adjudicated in Florida.
